These Terms of Use ("Terms") govern your access to and use of Project Sarah™ (the "Software"), including any related websites, downloads, license services, updates, and support (collectively, the "Services"), provided by Socrates Asset Management Ltd. ("Socrates," "we," "us," "our," or "Company").

By accessing, downloading, installing, activating, or using the Software or Services, you agree to be bound by these Terms, our Privacy Policy, and our End-User License Agreement (EULA). If you do not agree to any part of these Terms, you may not use the Software or Services.

You must be at least the age of majority in your jurisdiction to use the Software. By using the Software, you represent and warrant that you are of legal age to form a binding contract and that you are not prohibited by law from using the Software. If you are not of legal age, you may not use the Software.

Subject to these Terms and your payment of applicable fees, Socrates grants you a limited, non-exclusive, non-transferable, revocable license to install and use one (1) copy of the Software on one (1) Device for your personal use, including training, education, and analysis.

Single-Device License. Unless you purchase a license that explicitly permits additional devices, your License Key is tied to one Device and may not be shared or used simultaneously across multiple devices. The Software is licensed, not sold. No ownership rights are transferred to you.

You may use the Software for the following purposes:

• Study blackjack strategy, probabilities, and decision analysis for personal education and training;
• Run simulations and review outputs for your own learning and reference;
• Configure rulesets and scenarios for analytical purposes; and
• Use the Software as a training and educational tool for personal improvement.

You agree that you will not, and will not attempt to:

• Reverse engineer, decompile, disassemble, or otherwise attempt to derive source code, underlying ideas, algorithms, or trade secrets;
• Modify, adapt, translate, or create derivative works of the Software;
• Disable, bypass, tamper with, or circumvent licensing, activation, encryption, obfuscation, watermarking, or other security mechanisms;
• Rent, lease, sublicense, sell, assign, distribute, or transfer the Software or your License Key to any third party;
• Use the Software to provide services to others (e.g., "service bureau" use) or for resale without our prior written permission;
• Use the Software in connection with unlawful activity, or in any way that violates applicable laws or regulations;
• Use the Software to hack, inject into, exploit, or interfere with any casino, game, website, device, network, or software system;
• Share your License Key or permit others to use the Software with your License Key; or
• Use the Software in any manner that violates the terms of service of any third-party platform or venue.

The Software is an educational and analytical tool designed for training and study purposes. The Software is NOT financial advice, investment advice, legal advice, or gambling advice. Socrates does not encourage or endorse gambling or wagering. You are solely responsible for your actions and decisions.

• No guarantee of outcomes, profit, or performance is provided or implied;
• The Software may contain errors, bugs, or inaccuracies;
• Rules, odds, and conditions vary by game and platform; outputs may not reflect real-world conditions; and
• Use of the Software does not guarantee any particular result or outcome.

You are solely responsible for ensuring your use of the Software complies with all applicable local, state, provincial, federal, and international laws and regulations. You are also solely responsible for compliance with any third-party rules or terms, including any casino, gaming platform, or venue rules. Socrates shall not be liable for any violation of law or third-party terms resulting from your use of the Software.

The Software requires activation using a valid License Key. The Software may periodically verify license status by communicating with our licensing service. If the Software cannot verify your license, it may continue to function for a limited grace period and may require reconnection to verify continued use.

Socrates may provide patches, updates, or changes to the Software at any time, including security updates and feature changes. Some updates may be required to continue using the Software. Socrates does not guarantee that any particular feature will remain available or unchanged.

All sales are final. Because the Software is a digital product delivered with a License Key and activation, Socrates does not offer returns or refunds.

Exception: If applicable law in your jurisdiction requires a refund, Socrates will comply with that law.

The Software and all associated content, code, branding, designs, documentation, and materials are owned by Socrates Asset Management Ltd. and are protected by copyright, trademark, and other intellectual property laws. No rights are granted except as expressly stated in these Terms.

The Software and Services are provided "as is" and "as available," with all faults, and without warranties of any kind. To the maximum extent permitted by applicable law, Socrates disclaims all warranties, express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

To the maximum extent permitted by applicable law, in no event will Socrates (including its directors, officers, employees, contractors, or suppliers) be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, goodwill, or other intangible losses, including any gambling or wagering losses, arising out of or related to your use of (or inability to use) the Software or Services, even if Socrates has been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, Socrates's total liability for any claim arising out of or relating to the Software or these Terms will not exceed the amount you paid for the Software license in the twelve (12) months preceding the event giving rise to the claim.

You agree to indemnify and hold harmless Socrates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to (a) your use of the Software, (b) your violation of these Terms, or (c) your violation of any law or third-party rule.

Socrates may suspend or terminate your license and access to the Services if you materially breach these Terms, attempt to circumvent licensing or security mechanisms, or engage in unlawful, abusive, or fraudulent use. Upon termination, you must cease all use of the Software and delete all copies in your possession or control.

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. You agree that any dispute arising out of or relating to these Terms or the Software will be brought exclusively in the courts located in British Columbia, Canada, and you submit to their exclusive jurisdiction.

Socrates may update these Terms from time to time. The "Effective Date" above indicates when the latest version took effect. Your continued use of the Software after changes become effective constitutes your acceptance of the updated Terms.
