Subject to your continued compliance with this EULA and your payment of all applicable fees, Socrates grants you a limited, non-exclusive, non-transferable, revocable, single-user license to install and use one (1) copy of the Software on one (1) Device for personal, non-commercial, educational, and analytical purposes only.

The Software is licensed, not sold. No ownership rights are transferred to you. All rights not expressly granted herein are reserved by Socrates.

You may not, and you may not permit others to:

• Reverse engineer, decompile, or disassemble the Software or attempt to derive source code, except to the extent such restriction is prohibited by applicable law;
• Modify, adapt, translate, or create derivative works of the Software;
• Rent, lease, sublicense, sell, assign, distribute, or transfer the Software or your License Key;
• Use the Software for Commercial Use without our prior written permission;
• Bypass, disable, or circumvent any security, licensing, activation, or authentication mechanisms;
• Install or use the Software on more than one Device with a single License Key, or share a License Key with any other person or entity;
• Use the Software in a manner that violates applicable law or the terms of service of any platform you use in connection with it; or
• Use the Software to hack, exploit, or interfere with any casino, game, website, device, network, or software system.

• Activation: The Software requires one-time online activation using a valid License Key.
• Periodic Verification: The Software may periodically connect to the License Server to verify license status and prevent unauthorized use.
• Offline Grace Period: If verification cannot occur, the Software may continue to function for a grace period of thirty (30) days from the last successful verification, after which you must reconnect to re-verify your license.

Your license is locked to a single Device. If you replace or lose access to your Device due to hardware failure or system rebuild, you may request a reactivation by contacting support. Reactivation requests are handled at our discretion, and we may require proof of purchase and may deny requests that indicate abuse, sharing, or circumvention.

Socrates may provide Updates at our discretion. Some Updates may modify or remove features, change performance characteristics, or alter compatibility. You agree that the Software may change over time. Where required, you remain responsible for maintaining a compatible system environment.

All sales are final. Because the Software is a digital product delivered with a license activation, you acknowledge and agree there are no refunds, except where required by applicable law. Once a License Key is delivered, the transaction is generally non-reversible.

The Software is an analytical and educational tool designed for training and study. It is NOT financial advice, investment advice, legal advice, or gambling advice, and it does not guarantee outcomes. You are solely responsible for your decisions and for complying with all applicable laws and platform rules.

The Software and all related technology, content, branding, and materials are the exclusive property of Licensor and are protected by intellectual property laws.

To the maximum extent permitted by applicable law, the Software is provided "as is" and "with all faults", without warranty of any kind. We disclaim all warranties, express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Software will be error-free, uninterrupted, or that it will meet your requirements. You assume all risk arising from use or performance of the Software.

To the maximum extent permitted by applicable law, in no event shall Licensor or its suppliers be liable for any special, incidental, indirect, punitive, exemplary, or consequential damages whatsoever (including loss of profits, loss of data, business interruption, or other pecuniary loss), arising out of or related to the use of or inability to use the Software, even if advised of the possibility of such damages.

To the maximum extent permitted by applicable law, Licensor's total liability under this EULA shall not exceed the amount actually paid by you for the Software.

You agree to indemnify and hold harmless Licensor and its directors, officers, employees, contractors, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising from or related to: (a) your misuse of the Software; (b) your violation of this EULA; or (c) your violation of any law or third-party rights.

You represent that you are not located in, under the control of, or a national or resident of any country where use or export is prohibited by applicable sanctions or export-control laws, and you agree not to access, use, export, re-export, or transfer the Software in violation of such laws.

This EULA is effective until terminated. Your rights under this license will terminate automatically if you fail to comply with any term of this EULA. Upon termination, you must cease all use of the Software and destroy all copies in your possession or control.

Sections intended by their nature to survive (including Intellectual Property, Warranty Disclaimer, Limitation of Liability, Indemnification, and Governing Law) shall survive termination.

This EULA shall be governed by and construed in accordance with the laws of Canada, without regard to conflict of law principles. You agree that any legal action arising out of or relating to this EULA shall be brought exclusively in the federal or provincial courts located in Canada, and you consent to the jurisdiction of such courts.

If any provision of this EULA is held unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.

Failure to enforce any provision of this EULA shall not constitute a waiver of future enforcement of that or any other provision.

You may not assign or transfer this EULA or your rights under it without our prior written consent. Socrates may assign this EULA in connection with a merger, acquisition, corporate reorganization, or sale of assets.

This EULA, together with our Terms of Use and Privacy Policy, constitutes the entire agreement between you and Licensor relating to the Software and supersedes all prior or contemporaneous communications relating to the Software.
